This Agreement is entered into between you and Skxuwdy Hql Group Co., Ltd., and shall be legally binding. The parties to this Agreement are collectively referred to as the "Parties". Skxuwdy Hql Group Co., Ltd. is also referred to as "TeamBox" in this Agreement. Address: Room 1508, 15/F, Office Tower II, Grand Century Place, 625 Nathan Road, Mong Kok, Hong Kong

TeamBox User Agreement

1. Agreement Content and Signing

  1. This Agreement includes the main text and all rules that have been or may be published by TeamBox in the future. All rules are an integral part of this Agreement and have the same legal effect as the main text. Unless explicitly stated otherwise, all services provided by TeamBox and its affiliated companies are subject to this Agreement. However, if there are mandatory provisions in laws and regulations, such provisions shall prevail.
  2. When you click "I have read and agree to the Terms of Service of TeamBox" during the registration of your TeamBox account, you are deemed to have accepted this Agreement and all rules and agreed to be bound by them. You should carefully read all the contents of the Agreement before using TeamBox services and ensure that you fully understand the contents. If you have any questions about the Agreement, you should consult TeamBox. However, regardless of whether you have actually read the contents of this Agreement before using TeamBox services, your registration, current use or continued use of TeamBox services shall be deemed as acceptance of this Agreement.
  3. You promise to accept and comply with the terms of this Agreement. If you do not agree to the terms of this Agreement, you should immediately stop the registration process or stop using TeamBox services.
  4. TeamBox reserves the right to formulate and modify this Agreement and/or various rules from time to time as needed, and announce them through platform announcements. The revised Agreement and rules shall take effect automatically immediately after being published on the platform. TeamBox's latest Agreement, rules and platform announcements are available for you to view at any time by logging in. You should also regularly log in to view the latest Agreement, rules and platform announcements to keep abreast of TeamBox's latest developments. If you do not agree to the relevant changes, you should immediately stop using TeamBox services. Your continued use of the services constitutes acceptance of the revised Agreement and rules. The terms of this Agreement and rules (and their respective amendments from time to time) are severable. If any term is deemed illegal, invalid, revoked, modified or unenforceable for any reason, it shall not affect the legality, validity and enforceability of other terms.

2. Account Management

1. Eligibility

You must be a natural person with full capacity for civil rights and full capacity for civil conduct. If you do not have the aforementioned qualifications, you and your guardian shall bear all consequences arising therefrom, and TeamBox reserves the right to cancel (permanently freeze) your TeamBox account and claim compensation from you and your guardian. If you do not have the aforementioned qualifications, you need the consent of your guardian to register as a TeamBox user. Otherwise, you and your guardian shall bear all consequences arising therefrom, and TeamBox reserves the right to cancel (permanently freeze) your TeamBox account and claim compensation from you and your guardian.

TeamBox is not capable of conducting substantive review of your capacity for civil rights and civil conduct. Therefore, once you register, TeamBox may assume that you have full capacity for civil rights and full capacity for civil conduct.

2. Account

When you sign this Agreement, complete the user registration process or actually use TeamBox services in other ways permitted by TeamBox, TeamBox will provide you with a uniquely numbered TeamBox account ID (hereinafter also referred to as the "Account").

You should properly protect the security of your account. You shall be responsible for the security of your account and password, as well as all actions performed through your account. Unless through proper legal procedures and with the consent of TeamBox, the account and password may not be transferred, donated or inherited in any way. If you discover any situation that may endanger the security of your account, you should immediately notify TeamBox in an effective manner and request TeamBox to suspend the relevant services of the account. You understand that it takes reasonable time for TeamBox to take action on your request. TeamBox shall not be liable for any consequences (including but not limited to any loss of yours) arising before taking action, except where TeamBox fails to take action within a reasonable time. You acknowledge that the ownership and other related rights of the data and other relevant information provided and formed by you during the registration and use of TeamBox services belong to TeamBox, and TeamBox reserves the right to use the above information.

3. Service Usage Specifications and Handling Provisions

When using TeamBox services, you promise to comply with the following usage specifications:

  1. Users promise the correctness of their registration information.
  2. If there is any change in the information provided by the user to TeamBox, please promptly notify TeamBox to make corresponding modifications.
  3. Users shall not engage in malicious registration, malicious clicking, malicious false consumption and other behaviors.
  4. All behaviors performed in the process of using TeamBox services shall comply with the provisions and requirements of laws, regulations and other normative documents as well as TeamBox's rules. They shall not violate social public interests or public morality, shall not damage the legitimate rights and interests of others, and shall not violate this Agreement and relevant rules. If you violate the aforementioned commitments and cause any legal consequences, you shall independently bear all legal responsibilities and ensure that TeamBox is free from any losses arising therefrom. If TeamBox assumes corresponding responsibilities or compensates for relevant losses, you promise that TeamBox may recover from you, and the relevant responsibilities or losses shall be ultimately borne by you.
  5. When consuming on the TeamBox platform, users shall abide by the principle of good faith, shall not engage in unfair competition, shall not disrupt the normal order of online transactions, and shall not engage in behaviors unrelated to online transactions.
  6. Users shall not make commercial use of any data on the TeamBox platform, including but not limited to copying, disseminating or otherwise using the materials displayed on the TeamBox website without the prior written consent of TeamBox.
  7. TeamBox strictly prohibits all cheating behaviors targeting TeamBox activities. For confirmed cheating behaviors, we reserve the right to recover all referral rewards of the account and its associated accounts, cancel the referral qualification, and include them in TeamBox's blacklist. Cheating behaviors include but are not limited to: registering multiple accounts on the same computer or device with the same IP address within one day to obtain referral rewards.
  8. TeamBox prohibits users from promoting in any form within TeamBox.
  9. You shall not use any device, software or routine to interfere with or attempt to interfere with the normal operation of the TeamBox platform or any transaction or activity in progress. You shall not take any action that will cause an unreasonable massive data load on TeamBox's network equipment. Otherwise, TeamBox will pursue your relevant responsibilities, including but not limited to canceling relevant referral rewards, canceling referral qualification, including in TeamBox's blacklist, freezing the account or canceling the account. If it causes losses to TeamBox or TeamBox assumes corresponding legal responsibilities, TeamBox reserves the right to require you to compensate and ultimately assume the corresponding responsibilities.
  10. When using the platform services, users shall abide by laws, regulations, social morality and public order and good customs, and shall not engage in any illegal, fraudulent, malicious, infringing or activities that violate public order and good customs. In particular, users shall not use any technical means or tools (including but not limited to automated scripts, software tools, third-party plug-ins, etc.) to engage in the following violations:
    • a) Batch registration, login or management of multiple accounts;
    • b) Batch brushing, obtaining or accumulating platform points, rewards or other virtual items;
    • c) Mutual brushing of points or improper exchange of interests through false transactions, false reviews, etc.;
    • d) Any other form of abnormal or fraudulent operations to obtain improper interests or damage the fair competition environment of the platform.
  11. Users shall bear all legal responsibilities arising from violations. If a user's violation causes losses to others, the user shall bear the compensation responsibility according to law. At the same time, the platform reserves the right to pursue the user's legal responsibilities and report to relevant departments and cooperate with investigations.

You understand and agree that TeamBox has the right to handle as follows:

  1. TeamBox has the right to unilaterally determine whether you have violated the above commitments and apply the rules to handle them without obtaining your consent.
  2. If an effective legal document from an administrative or judicial organ confirms that you have committed illegal or infringing acts, or TeamBox, based on its own judgment, believes that your behavior is suspected of violating the terms of this Agreement or rules or suspected of violating the provisions of laws and regulations, TeamBox has the right to publicize such suspected illegal or violating acts and the measures taken by TeamBox against you on TeamBox.
  3. For information published by you on TeamBox that is suspected of being illegal, suspected of infringing on the legitimate rights and interests of others, or violating this Agreement or rules, TeamBox has the right to delete it and impose penalties in accordance with the rules.
  4. For behaviors implemented by you on TeamBox, including behaviors not implemented on TeamBox but having an impact on TeamBox and its users, TeamBox has the right to unilaterally determine the nature of your behavior and whether it constitutes a violation of this Agreement or rules, and make corresponding penalties accordingly. You shall independently preserve all evidence related to your behavior and shall bear the adverse consequences of failing to provide sufficient evidence.
  5. For any damage caused to any third party by your suspected violation of the commitments, you shall independently bear all legal responsibilities in your own name and shall ensure that TeamBox is free from any losses or increased expenses arising therefrom. If TeamBox assumes corresponding responsibilities or compensates for relevant losses, you promise that TeamBox may recover from you, and the relevant responsibilities or losses shall be ultimately borne by you, including reasonable attorney fees, query fees of relevant institutions, etc.
  6. If you are suspected of violating relevant laws or the provisions of this Agreement, causing TeamBox to suffer any losses, or being claimed by any third party, or being punished by any administrative department, you shall compensate TeamBox for the losses and expenses incurred thereby, including reasonable attorney fees, query fees of relevant institutions, etc.
  7. The materials displayed on TeamBox (including but not limited to text, charts, logos, images, digital downloads and data editing) are the property or rights of TeamBox or its content providers; the compilation of all content on TeamBox is the copyright of TeamBox; all software on TeamBox is the property or rights of TeamBox, its affiliated companies or its software suppliers. The above intellectual property rights are protected by law. If you infringe the above rights, TeamBox has the right to handle you according to the rules and pursue your legal responsibilities.
  8. TeamBox is not capable of conducting substantive review of your relevant registration. Therefore, once relevant consequences arise due to your registration problems, they shall be fully borne by you, and TeamBox shall not be liable for this. If TeamBox is required by laws and regulations to assume relevant responsibilities first, you promise that TeamBox has the right to recover from you, and you shall ultimately bear the above responsibilities.

4. Special Authorization

You fully understand and irrevocably grant TeamBox and its affiliated companies the following rights:

  1. Once you make any form of commitment to TeamBox, its affiliated companies or its cooperative organizations, and the relevant company or organization has confirmed that you have violated the commitment, TeamBox has the right to immediately take restrictive measures on your account in the manner agreed in your commitment or agreement, including suspending or terminating the provision of services to you, and publicizing the violation confirmed by the relevant company. You understand and agree that, unless otherwise explicitly required by laws and regulations, TeamBox does not need to verify the facts with you or obtain your consent separately for the relevant confirmation, and TeamBox does not need to bear any responsibility for such restrictive measures or publicity.
  2. Once you violate this Agreement or the terms of other agreements signed with TeamBox, TeamBox has the right to notify TeamBox's affiliated companies or its cooperative organizations in any way and request them to take restrictive measures on your rights and interests, including but not limited to requiring TeamBox to reset the assets in your account to zero, requiring the affiliated companies to suspend or terminate the provision of part or all services to you, and publicizing your violation on any website operated or actually controlled by them.
  3. For the materials and data information recorded by you during registration or transaction, you grant TeamBox, its affiliated companies or its cooperative organizations the exclusive, permanent, free right to use and license others to use them worldwide.
  4. TeamBox and its affiliated companies have the right to accept disputes arising from transactions between you and other users, and have the right to unilaterally judge the facts related to the dispute and the applicable rules, and then make a handling decision. The handling decision is binding on you. If the dispute causes losses to TeamBox and its affiliated companies, you shall promptly compensate TeamBox and its affiliated companies for the losses. Otherwise, TeamBox and its affiliated companies have the right to directly offset your rights and interests under the contract and in the account, and have the right to continue to recover.

5. Scope of Liability and Limitation of Liability

  1. TeamBox is responsible for providing services to you on an "as is" and "as available" basis, and TeamBox shall only be liable for the services provided by itself. TeamBox does not provide guarantees or assume any liability for services and products provided by third parties to users, but shall assist users and third parties in negotiations to protect the legitimate rights and interests of users.
  2. You understand that a large amount of information on TeamBox is published by third-party platforms themselves and may have risks and defects. TeamBox is only a trading platform. TeamBox is only a place for you to obtain information about goods or services, find trading partners, negotiate and conduct transactions on goods or services. However, TeamBox cannot control the quality, safety or legality of the goods involved in the transaction, the authenticity or accuracy of business information, or the ability of the parties to the transaction to perform their obligations under the trade agreement. You shall independently and carefully judge and determine the authenticity, legality and validity of the relevant goods and information, and bear the relevant risks independently.
  3. The commodity prices, quantities, availability and other commodity information on TeamBox may change at any time, and TeamBox does not give special notice in this regard. You acknowledge and understand that due to the extremely large number of commodity information on the website, although TeamBox will make reasonable and best efforts to ensure the accuracy and speed of the commodity information you browse, due to well-known objective reasons such as Internet technology factors, the information displayed by TeamBox may have certain lag and errors. TeamBox shall not be liable for any inconvenience or corresponding problems caused to you thereby.
  4. Unless explicitly required by laws and regulations, or in the following circumstances, TeamBox has no obligation to conduct prior review of all users' registration data, commodity (service) information, trading behaviors and other matters related to transactions:
    • a) TeamBox has reasonable grounds to believe that a specific user and specific transaction matters may have serious illegal or violating circumstances.
    • b) TeamBox has reasonable grounds to believe that the user's behavior on TeamBox is suspected of being illegal or improper.
  5. You understand and agree that TeamBox and its affiliated companies are not judicial institutions and can only identify evidence as ordinary persons. The dispute mediation by TeamBox and its affiliated companies is entirely based on your entrustment. TeamBox and its affiliated companies cannot guarantee that the dispute handling results meet your expectations, nor shall they be liable for the dispute mediation conclusions. If you suffer losses thereby, you agree to independently claim compensation from the beneficiary or other relevant personnel through legal channels.
  6. You understand and agree that TeamBox shall not be liable for any damages suffered by you due to any of the following situations, including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses (whether TeamBox has been informed of the possibility of such damages):
    • a) Unauthorized use of your account or modification of your data by a third party.
    • b) Fees and losses arising from purchasing or obtaining any goods, samples, data, information or conducting transactions or alternative behaviors through TeamBox services, except those caused by incorrect service information provided by TeamBox.
    • c) Your misunderstanding of TeamBox services.
    • d) Other losses related to TeamBox services not caused by TeamBox.
  7. For any damage or economic loss caused by the use of TeamBox services, the total liability of TeamBox shall not exceed the price of the service or goods purchased by you through TeamBox or related to the claim. This limitation of liability clause shall remain effective after the user's qualification is frozen, suspended or cancelled.
  8. Under no circumstances shall TeamBox be liable for failure to provide services or delay in services caused by strikes, riots, uprisings, disturbances, fires, floods, storms, explosions, wars, acts of government, orders of judicial and administrative organs, and other reasons not caused by TeamBox. TeamBox will make reasonable efforts to handle the aftermath.

6. Termination of Agreement

  1. You agree that TeamBox has the right to decide to suspend or terminate the provision of part or all of the TeamBox platform services to you according to this Agreement, temporarily freeze or permanently freeze (cancel) your account, without being liable to you or any third party for this, except as otherwise explicitly required by this Agreement or laws and regulations.
  2. Under the following circumstances, TeamBox has the right to directly terminate this Agreement by canceling the account:
    • a) After TeamBox terminates the provision of services to you, you are suspected of registering as a TeamBox user directly, indirectly or in the name of another person again;
    • b) When this Agreement (including rules) is changed, you explicitly notify TeamBox that you are unwilling to accept the new service agreement;
    • c) Other circumstances where TeamBox deems it necessary to terminate the service.
  3. You have the right to request TeamBox to cancel your account. Upon TeamBox's review and approval, TeamBox will cancel (permanently freeze) your account. At that time, the contractual relationship between you and TeamBox based on this Agreement shall terminate. After your account is cancelled (permanently frozen), TeamBox has no obligation to retain or disclose any information in your account to you, nor is it obligated to forward any unread or unsent information to you or a third party.
  4. You agree that after the termination of the contractual relationship between you and TeamBox, TeamBox, its affiliated companies or its cooperative organizations still enjoy the following rights:
    • a) Continue to retain and use your registration, data and all transaction data during your use of TeamBox services.
    • b) If you have committed illegal acts or violated this Agreement or rules during the use of TeamBox services, TeamBox may still claim rights against you according to this Agreement.
  5. After TeamBox suspends or terminates the provision of services to you, the following principles shall apply to the handling of your transaction behaviors before the suspension or termination of services. You shall independently handle and fully bear any disputes, losses or increased expenses arising from the following handling, and shall ensure that TeamBox is free from any losses or expenses arising therefrom:
    • a) For incomplete transaction or activity information uploaded by you to TeamBox before the suspension or termination of services, TeamBox has the right to delete the relevant information of this content when suspending or terminating the services;
    • b) If you have reached a sales contract with another user before the suspension or termination of services, but the contract has not been actually performed, TeamBox has the right to delete the relevant information of the sales contract and its traded goods on the TeamBox platform;
    • c) If you have reached a sales contract with another user before the suspension or termination of services and have partially performed it, TeamBox may not delete the transaction, but TeamBox has the right to notify the other party to the transaction of the relevant situation when suspending or terminating the services.

7. Privacy Policy

  1. TeamBox has no restrictions on users who wish to become users, but users under the age of 18 must obtain the consent of their guardians to use TeamBox services;
  2. One account is limited to one user. Users must provide true and accurate information to TeamBox. TeamBox shall not be liable for consequences such as failure to receive withdrawals due to incorrect information provided;
  3. Users must promptly notify TeamBox to make corresponding changes after modifying their information;
  4. TeamBox and its affiliated companies promise not to disclose users' privacy-related information to other third-party institutions;
  5. Users must comply with the user agreement and privacy policy of TeamBox (and cooperative organizations).
